MyDirectLine - Terms of Service

Welcome to MyDirectLine!

This document is a binding legal agreement between you, the user ("you," "your"), and ("MyDirectLine," "we," "us," "our"). These Terms of Service ("Terms") govern your access to and use of our website, mydirectline.app, and any related services (collectively, the "Service").

By creating an account, making a purchase, or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Service.

1. Description of Our Service

MyDirectLine is a neutral technology platform that provides a simple utility for clients to connect with advisors ("Advisors") through paid, asynchronous messages. We are a conduit for communication and are not a publisher of content.

2. User Accounts

To use the Service, you must register for an account.

  • You must be at least 18 years of age to create an account.
  • You agree to provide accurate and complete information.
  • You are solely responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
  • We reserve the right to suspend or terminate your account at any time for violations of these Terms.

3. The Credit System and Payments

Our Service operates on a system of "Credits."

  • Purchasing Credits: You may purchase Credits through the Service. All purchases are processed by our third-party payment processor, Stripe. Credits are purchased in packages as described on the "Buy Credits" page.
  • Limited License: Credits are a limited, non-transferable license to use a feature of our Service. Credits have no cash value, are not legal tender, and cannot be redeemed for cash or transferred to another account.
  • NO REFUNDS: All purchases of Credits are final and non-refundable.

4. Advisor Payouts

Advisors are entitled to a share of the revenue generated from messages they successfully answer.

  • Revenue Share: Advisors will receive eighty percent (80%) of the Credits spent by a client on a message they reply to.
  • Payouts: Advisor earnings can be paid out at any time on demand. A minimum balance of $50.00 must be reached to be eligible for a payout. All payouts are processed via Stripe Connect, which requires Advisors to agree to Stripe's terms and provide necessary banking and tax information.

5. User Content and Intellectual Property

  • Advisor Content: You, as an Advisor, retain full ownership and all intellectual property rights to the content (text, photos, videos) you create and transmit through the Service ("Advisor Content").
  • Our License: To operate the Service, you grant MyDirectLine a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and deliver your Advisor Content to the client who purchased the interaction. This license is solely for the purpose of operating and providing the MyDirectLine Service.

6. The 7-Day Escrow System

To protect clients, when a message is sent, the corresponding Credits are held in escrow. Advisors have seven (7) days to respond to a message.

  • If the Advisor responds within 7 days, the Credits are released to the Advisor's earnings balance.
  • If the Advisor does not respond within 7 days, the Credits are automatically returned to the client's on-platform balance.

7. Community Guidelines

All users must adhere to our Community Guidelines, which are incorporated into these Terms by reference. Prohibited activities include, but are not limited to:

  • Illegal content or conduct.
  • Harassment, bullying, or hate speech.
  • Credible threats of violence.
  • Spam or impersonation.

We reserve the right to enforce these guidelines at our discretion, which may include issuing a warning(s) or permanently banning an account.

8. Data Retention and Account Inactivity

  • Active Accounts: An account is considered "Active" if the user has logged in at least once in the past 24 months. For all Active accounts, we will retain your message and media history to provide you with a continuous conversation log.
  • Dormant Accounts: An account is considered "Dormant" if the user has not logged in for 24 consecutive months AND has a zero credit balance.
  • Data Purge: For Dormant accounts, we reserve the right to permanently delete all associated message and media data. We will provide a 90-day warning period via email before any such data purge occurs. The core user account record will not be deleted as part of this process.

9. Disclaimers and Limitation of Liability

  • "AS IS" Service: The Service is provided on an "as is" and "as available" basis without any warranties of any kind.
  • Content is from Users: We are not responsible for the content created or shared by our users. The views and advice expressed by Advisors are their own and not those of MyDirectLine.
  • Advice Disclaimer: The advice provided by Advisors on the Service is for informational and entertainment purposes only. It is not a substitute for professional legal, financial, medical, therapeutic, or other expert counsel. You act on any advice at your own sole risk.
  • Limitation of Liability: To the fullest extent permitted by law, MyDirectLine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

10. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your account at any time and without prior notice if you breach these Terms.

11. General Terms

These Terms constitute the entire agreement between you and MyDirectLine. These Terms shall be governed by the laws of Tennessee, without respect to its conflict of laws principles.
